USE THE WHISTLEBLOWING CHANNELS IF YOU WANT TO REPORT violations related to rules/regulations, the Code of Ethics, the Code of Conduct, Model 231, the Anti-Corruption Policy, the Conflict of Interest Management Procedure, the Management System for the Prevention of Corruption, the Company's regulatory framework (policies and procedures) or news of events that could cause damage to ADR's assets or image.

The ADR Group Companies have implemented a Whistleblowing Management process, updated in accordance with Legislative Decree No. 24 of 10 March 2023 on the Implementation of Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons who report breaches of EU law national laws.
The key features of the whistleblowing management framework are:
  • a Whistleblowing Team in charge of receiving and handling whistleblowing; the Whistleblowing Team is composed of the heads of the functions (i) Internal Audit (acting as Coordinator), (ii) Human Capital, Organization & Procurement, (iii) General Counsel & Compliance, (iv) Chief Financial Officer , (v) Risk Governance & Compliance;
  • reporting channels dedicated to receiving and processing whistleblowings.

In order to ensure the effectiveness of the reporting process and provide total and non-discriminatory access to all those who wish to make a Report, ADR Group provides an IT platform, accessible to all (employees, third parties, etc.) where a written or oral Report may be submitted.
According to L.D. 24/2023, oral reports may also be made through a direct contact with the Whistleblowing Team or one or more of its members, at the request of the whistleblower. Such request can be submitted via the platform or addressed to one of the Whistleblowing Team members.
 


Reports can also be made orally by calling the voice mailbox on +39 02/81480081, entering the code 4289 to identify ADR Group and following the instructions of the voicemail.
The confidentiality of reports is secured by tone and voice distortion systems.

Although submissions of Anonymous Reports is a feasible alternative at ADR, the ADR Group recommends the submission of a non-anonymous Reports, in order to speed up and facilitate investigations.

The platform makes it possible to select the ADR Group companies to which the report is deemed to refer, if known.

Please note that, in accordance with art. 19 of Legislative Decree No. 24/2023, any retaliation you believe you have incurred may be reported to the National Anticorruption Authority (ANAC) through the appropriate channel activated and operated by ANAC.

What can you report?
The Whistleblowing Management System, in accordance with Legislative Decree 24/2023, applies to shareholders, top management, members of the Corporate Bodies and the Supervisory Body of the ADR Group companies, employees (including volunteers, interns, and trainees, whether paid or unpaid) and third parties who carry out their work activities within the Group companies, or anyone who has a legitimate interest in the company’s operations who are entitled to submit Reports, if they have any information regarding violations – i.e. conduct, acts or omissions detrimental to the public interest or integrity of Group or its companies – (or alleged violations):

  • referred to in Article 2, paragraph 1, letter a of Decree 24/2023 ;
  • additional applicable laws and regulations;
  • internal corporate regulatory framework (policies, procedures, etc.), including the Code of Ethics, the Organization, Management and Control Model pursuant to Legislative Decree 231/2001 (hereinafter also “Model 231”) and the Anti-Bribery Policy;
  • Information on events likely to cause financial or reputational damage to ADR or ADR Group companies.

In accordance with Legislative Decree no. 24/2023 and the Whistleblowing Policy, the whistleblower will be notified, through the channel used, of receipt of the report within 7 days from receipt and will be provided with feedback on the follow-up to the report within 3 months from receipt.

Complaints, claims or requests related to an interest of a personal nature of the person making the report, which relate exclusively to his individual work relations, or inherent to his work relations with hierarchically superior figures, and other cases indicated in the Policy do not fall within the scope of Legislative Decree 24/2023 and therefore of the Whistleblowing Policy.
